Terms of Use

1. Acceptance

These Terms of Use govern your use of hpt.group (the “Site”). By accessing or using the Site you accept these terms. If you do not accept them, do not use the Site. These terms do not govern any advisory engagement with HPT; engagements are governed by the relevant engagement letter and supersede these Terms in case of conflict.

2. Who provides the Site

The Site is operated by HPT Group, a brand name for a network of independent affiliated firms. Different services on the Site are delivered by different HPT entities depending on the jurisdiction and matter. See the Regulatory Information page for the current entity structure and regulatory status.

3. Nothing on the Site is advice

The content on the Site, including articles, guides, glossaries, FAQs, jurisdiction comparisons and service descriptions, is general commentary. It is not, and is not intended to be, legal, tax, accounting, investment, regulatory or other professional advice for any specific person or matter. Tax and regulatory rules vary by jurisdiction and change frequently. Any reliance on Site content is at the reader's risk and we accept no liability for such reliance. Specific advice requires a written engagement letter with the relevant HPT entity.

4. No solicitation in restricted jurisdictions

The Site is published from Hong Kong. It is not directed at any person in a jurisdiction in which the publication or availability of the Site, or the provision of the services described, would be unlawful or contrary to local regulation. Where local law requires a specific regulatory disclosure, that disclosure is made on engagement. If you are unsure whether the services are available to you, contact us before engaging.

In particular: this Site does not constitute an offer or solicitation of securities, investment-management services or banking services in any jurisdiction. Citizenship and residency programmes are subject to the rules of the granting state. United States persons are subject to US federal and state law that may apply regardless of where HPT services are delivered.

5. Intellectual property

All content on the Site, including text, graphics, layout, source code, the HPT name and marks, is owned by HPT Group or licensed to it, and is protected by copyright, trade-mark and other intellectual-property laws. You may view, print and share Site content for personal, non-commercial use, with attribution and a link back to the original page. Republication, training of artificial-intelligence models on Site content, and any commercial use are prohibited without prior written permission. 6. Third-party content and links

The Site may reference or link to third-party content. We do so for information only. We are not responsible for the accuracy, availability or content of third-party sites and a link is not an endorsement.

7. Acceptable use

You agree not to:

• Use the Site to upload, transmit or distribute any material that is unlawful, defamatory, obscene, harassing or that infringes intellectual property.
• Attempt to gain unauthorised access to any part of the Site or its underlying systems.
• Use automated means to scrape, crawl or harvest content beyond what robots.txt permits.
• Impersonate any person or misrepresent your affiliation with HPT.
• Use Site content to train, fine-tune or evaluate machine-learning models.

8. Availability and changes

We aim to keep the Site available continuously but do not guarantee uninterrupted access. We may suspend, withdraw or modify all or part of the Site without notice. We may also revise these Terms from time to time; the current version is dated at the top of the page.

9. Limitation of liability

To the maximum extent permitted by law, HPT Group, its affiliates and their officers, directors and employees will not be liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, opportunity, data or goodwill, arising out of or in connection with your use of the Site. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for fraud or fraudulent misrepresentation, for personal injury or death caused by negligence, or under mandatory consumer-protection laws. Liability arising under an engagement letter is governed by that engagement letter, not by these Terms.

10. Indemnity

You agree to indemnify HPT Group against any loss, liability, cost or expense arising from your breach of these Terms or from your unlawful or unauthorised use of the Site.

11. Governing law and jurisdiction

These Terms are governed by the law of Hong Kong SAR. The courts of Hong Kong have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms, except that HPT may enforce its intellectual-property rights in any competent court.

12. Severability and assignment

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force. You may not assign your rights under these Terms; HPT may assign its rights to an affiliated entity on notice.
