2. Acceptance of Terms

By accessing or using this website, or by submitting an application, enquiry or engagement form to HPT Group, you confirm that:

• You are at least 18 years of age;
• You have the legal capacity and authority to enter into a binding agreement;
• You have read, understood and agree to be bound by these Terms;
• If you are acting on behalf of a corporate entity, you have the authority to bind that entity to these Terms.

These Terms may be updated from time to time. Continued use of the website following any update constitutes your acceptance of the revised Terms. Material changes will be communicated to active clients.

3. Our Services

HPT Group provides the following categories of service:

The specific scope, deliverables, fees and timeline for any engagement are set out in the engagement documentation issued to you prior to the commencement of work. These Terms govern the relationship in all respects not addressed by such engagement documentation.

4. No Legal or Tax Advice

HPT Group provides advisory and introductory services. Where engagement-specific written memoranda, structure designs or roadmaps are produced, these are structured commercial advisory opinions, not legal or tax opinions. They do not create a lawyer-client or accountant-client relationship.

Tax laws, corporate laws, regulatory requirements and exchange control rules vary significantly between jurisdictions and change frequently. You should always seek independent legal and tax advice from qualified professionals in each relevant jurisdiction before implementing any structure or taking any action based on information provided by HPT Group.

HPT Group makes no representation that any structure, jurisdiction or approach described in our materials or engagements will be appropriate for your specific legal, tax or regulatory circumstances. Reliance on general information without independent professional advice is at your own risk.

5. Engagement Terms

All client engagements with HPT Group are subject to the following:

• Engagement LetterA formal engagement letter will be issued prior to the commencement of any paid advisory work, setting out scope, fees, deliverables and estimated timelines.
• FeesFees are as set out in the relevant package description or engagement letter. All fees are stated exclusive of applicable taxes. Payment terms are as specified in the engagement letter.
• Retainer and CreditThe Single Issue Diagnosis fee is credited in full against the Entrepreneur Structuring Blueprint fee if the Blueprint is engaged within 60 days of Diagnosis delivery. Fees are confirmed in the engagement letter.
• CancellationFees paid for consulting packages are non-refundable once advisory work has commenced. Implementation fees are non-refundable once third-party filings or applications have been submitted.
• Scope LimitationsHPT Group's services are limited to the scope set out in the engagement letter. Any extension of scope requires written agreement and, where applicable, additional fees.
• Client ResponsibilitiesYou are responsible for providing accurate, complete and timely information. HPT Group is not liable for any adverse outcome arising from information you provide that is inaccurate, incomplete or misleading.

6. Use of This Website

You agree to use this website only for lawful purposes and in a manner that does not infringe the rights of any third party. You must not:

• Use the website in any way that violates applicable local, national or international law;
• Transmit any unsolicited or unauthorised advertising or promotional material;
• Knowingly transmit any data, files or material that contains viruses, malware or other harmful code;
• Attempt to gain unauthorised access to any part of the website, server or database;
• Scrape, harvest or systematically extract data from the website without prior written consent;
• Use the website in any way that could damage, disable, overburden or impair our systems.

We reserve the right to restrict or terminate your access to the website at any time and without notice if we believe you have breached these Terms or are using the website in a manner harmful to others or to HPT Group.

7. Intellectual Property

All content on this website — including but not limited to text, graphics, logos, icons, images, audio clips, data compilations, research reports, jurisdiction guides, and software — is the property of HPT Group Limited or its content licensors and is protected by applicable copyright, trademark and intellectual property laws.

You may access and view website content for personal, non-commercial use only. You must not reproduce, distribute, modify, transmit, re-use, re-post or otherwise exploit any content from this website without prior written permission from HPT Group.

Written deliverables produced under an engagement — including memoranda, structure designs and roadmaps — are provided for the exclusive use of the named client. They may not be shared with third parties (other than the client's own legal and tax advisors) without our prior written consent.

Nothing in these Terms grants you any licence or right in respect of any trade mark, service mark or logo owned by HPT Group.

8. Confidentiality

All information exchanged between you and HPT Group in the context of an enquiry or engagement is treated as strictly confidential. HPT Group will not disclose your identity, business details, financial information, or the contents of any engagement to any third party without your prior consent, except:

• Where required by law, regulation, court order or competent authority;
• Where disclosure is necessary to deliver the services you have engaged us for (e.g. to our trusted formation agents or banking partners, subject to confidentiality obligations);
• Where disclosure is necessary to defend or pursue legal claims.

This confidentiality obligation continues after the termination of any engagement.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• This website and its content are provided on an 'as is' and 'as available' basis without any warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• HPT Group does not warrant that the website will be uninterrupted, error-free, free of viruses or other harmful components, or that defects will be corrected.
• HPT Group shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages arising out of or in connection with your use of this website or reliance on any information contained herein.
• HPT Group's total aggregate liability to you for all claims arising under or in connection with an engagement shall not exceed the total fees paid by you to HPT Group under that engagement.
• Nothing in these Terms limits our liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

10. Third-Party Links & Services

Our website may contain links to third-party websites or resources. These links are provided for your convenience only. HPT Group has no control over the content, privacy policies or practices of any third-party websites and accepts no responsibility for them.

Where we introduce you to third-party service providers — including registered agents, banks, licensing bodies or other professionals — we do so as an introducer only. We are not responsible for the services, charges, conduct or outcomes of any third-party provider, and any contract for such services is between you and that provider directly.

11. AML/KYC Compliance

HPT Group is committed to complying with all applicable anti-money laundering (“AML”), counter-terrorist financing (“CTF”) and sanctions laws in the jurisdictions in which it operates.

As a condition of engagement, all clients are required to complete HPT Group's client due diligence (“CDD”) process, including providing satisfactory proof of identity, proof of address, and source of funds and wealth documentation. We may also be required to conduct enhanced due diligence in certain circumstances.

HPT Group reserves the right to decline, suspend or terminate any engagement if it is unable to complete satisfactory due diligence, or if it forms a reasonable suspicion that engaging with you may give rise to AML/CTF concerns. In such circumstances, we may be legally prohibited from disclosing the basis for this decision.

By engaging HPT Group, you confirm that the funds and assets connected with your engagement are derived from legitimate sources and are not the proceeds of any unlawful activity.

12. Termination

Either party may terminate an engagement by giving written notice to the other, subject to the terms of the relevant engagement letter. Upon termination:

• Any fees due for work completed up to the date of termination shall remain payable;
• Any confidentiality obligations shall survive termination and continue indefinitely;
• Any AML/KYC data retention obligations shall continue for the periods required by law;
• Intellectual property in any deliverables produced shall remain with HPT Group until all outstanding fees are paid in full.

13. Governing Law & Jurisdiction

These Terms of Service and any non-contractual obligations arising from or in connection with them are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

Any dispute, controversy or claim arising out of or in connection with these Terms, or the breach, termination or invalidity thereof, shall be subject to the non-exclusive jurisdiction of the courts of Hong Kong SAR.

Where an engagement is entered into with a client domiciled in the United Kingdom or European Economic Area, and where mandatory consumer protection laws of that jurisdiction apply, those laws shall apply to the extent required and shall not be excluded by the choice of Hong Kong law.
